ND-NAI-CU (Commercial Use) License Agreement

By using or purchasing a 3D model with this ND-NAI-CU (Commercial Use) license ("Model"), you agree to the following terms and conditions set forth in this License Agreement ("Agreement") between Robert Mech, also known as Makers Mashup ("Licensor" or "Maker"), and yourself ("Licensee" or "You").

1. License Grant

1.1 Commercial Use (CU)

  • Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Model for commercial purposes.

  • Licensee is permitted to print and sell any of the 3D models royalty-free, with a limit of under 5,000 copies sold. For sales exceeding this limit, a special enterprise licensing agreement with Licensor is required.

1.2 No Derivatives (ND)

  • Licensee is expressly prohibited from creating derivative works based on the original Model.

  • Licensee shall not modify, adapt, or alter the Model in any way.

1.3 No AI Training (NAI)

  • Licensee is expressly prohibited from using the Model for training artificial intelligence (AI) or machine learning models.

2. Attribution

2.1 Attribution for Reselling and Promotional Use

  • When Licensee resells the physical representations of the Model or uses them for promotional purposes, they are required to provide proper attribution to Licensor, Makers Mashup, on the product listing or packaging.

  • Attribution may also be achieved through reasonable methods, such as placing a discreet Makers Mashup logo on the product, pacakaging or including a QR Code linking to the Makers Mashup website.

3. Promotional Use

3.1 Display of Makers Mashup Logo and Other Subtle Attribution

  • Licensee is granted the right to display the Makers Mashup logo at their shop booth or online store with a QR Code linking to the Makers Mashup website for promotional use.

  • Additionally, Licensee may subtly attribute the Model to Makers Mashup in ways that do not draw excessive attention, such as including a small logo on the back of a bag or box or using other unobtrusive methods that acknowledge the Model's creator without overwhelming the product's presentation.

3.2 Attribution Materials

  • Licensee may include additional materials, such as slips or product information, that attribute the Model to Makers Mashup when selling the 3D printed products. This can include a brief description or acknowledgment of the Model's creator.

4. Non-Derogatory Use

4.1 Non-Derogatory Use

  • Licensee agrees not to use the Model in any manner that is derogatory, defamatory, or harmful, including but not limited to promoting hate speech, discrimination, or illegal activities.

5. Termination

5.1 Termination

  • This Agreement is effective upon your use or purchase of the Model and shall continue indefinitely, subject to the termination provisions outlined below.

5.2 Termination by Licensee

  • Licensee may terminate this Agreement by ceasing to use the Model and destroying any copies in their possession.

5.3 Termination by Licensor

  • Licensor reserves the right to terminate this Agreement if Licensee breaches any of the terms or conditions outlined herein.

5.4 Effect of Termination

  • Upon termination, Licensee shall immediately cease using the Model and destroy any copies in their possession.

6. Acceptance

6.1 Acceptance

  • By using or purchasing the Model with this ND-NAI-CU (Commercial Use) license, you acknowledge that you have read, understood, and agreed to the terms and conditions of this License Agreement.

7. Governing Law and Jurisdiction

7.1 Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to its conflict of law principles.

7.2 Jurisdiction and Venue

  • Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Illinois, and Licensee consents to the personal jurisdiction and venue of such courts.

8. Entire Agreement

8.1 Entire Agreement

  • This Agreement constitutes the complete and exclusive agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements or understandings, whether oral or written.

9. Severability

9.1 Severability

  • If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10. Waiver

10.1 Waiver - The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

11. Modifications

11.1 Modifications - This Agreement may only be modified in writing and signed by both parties.
